CAMPUS AMBASSADOR PROGRAM TERMS & CONDITIONS

This Campus Ambassador Program (“Program”) is organized and managed by Univers Tech, LLC (“Company”, “Univers Tech,” “we,” “us” or “our”)in support of the distribution of the Piere Platform (“Platform”). The following Terms and Conditions of this agreement (the “Terms”) govern the participation of students (“Participants”, “you”, “your”) in this Program. 

By participating in the Program, you represent and warrant that: (i) you have full legal authority to enter into this agreement; (ii) you have read and understand the Terms of this agreement, and (iii) you are agreeing to be bound by the following Terms, as amended or modified from time to time.  If you do not have legal authority to enter into this agreement or do not agree to these Terms, you cannot participate in the Program.

PROGRAM OVERVIEW

The Program provides an opportunity for Participants to distribute the Platform on their college campuses. Univers Tech will provide Participant with a unique URL (“Custom URL”) to track and associate eligible net new users introduced to the Platform by each Participant (“Eligible Referrals”). A new user must always originate from a Participant’s Custom URL to qualify for this Program.

Univers Tech may issue fees as compensation for Eligible Referrals (“Referral Fees”) or branded items, redeemable coupons, exclusive event access, or other rewards (“Referral Rewards”) to Participant in accordance with the restrictions and guidelines in this Agreement. 

Univers Tech may elect to make available a set of applicable Program terms in addition to this Agreement that will govern Participant’s continued participation in the Program (“Program Guide”). The Program Guide may include updates or further details regarding applicable Referral Fees, Referral Rewards, and other relevant Program details. The terms of any such Program Guide are made part of this Agreement. These Terms will control over any conflicting terms of any such Program Guide. 

PARTICIPANT ELIGIBILITY

To be eligible for the Program:

  1. Participants must be 18 years of age or older.
  2. Participants must be currently enrolled and attending an accredited college or University in the United States. Participants may not be actively engaged in a “study abroad” semester while participating in the Program.
  3. Participants must have a clean academic and disciplinary record, devoid of any misconduct.
  4. Participants must complete an application and be accepted by Univers Tech into the Program.

Univers Tech may, at its sole option and discretion, change the foregoing requirements by updating this Agreement and/or any applicable Program Guide, and changes made are taken into immediate effect. Univers Tech reserves the right, in its sole discretion, to deny participation in the Program where Univers Tech determines Participant engagement is not consistent with the intent of this Program. 

ELIGIBLE REFERRALS

An Eligible Referral will only occur when a new user on the platform:

  1. Registers for the Platform directly originating from a Custom URL correlating to Participant’s account;
  2. Abides by the Piere Platform Terms & Conditions; 
  3. Does not already have, directly or indirectly, an account on the Platform;
  4. Enters only accurate and real information to create the new account;
  5. Sends a request for repayment for at least one transaction to at least one other unique individual who is not the Participant (“Eligible Payment Request”);
  6. Where all the foregoing occurs during Participant’s period of participation in the Program.

Univers Tech may, at its sole option and discretion, change the foregoing definition of Eligible Referrals by providing written notice (email/electronic communication permitted) to Participant or by updating this Agreement and/or any applicable Program Guide, and changes made are taken into immediate effect. Univers Tech reserves the right, in its sole discretion, not to pay any Referral Fees to Participant where Univers Tech determines Eligible Referrals are not consistent with the intent of this Program. 

DISTRIBUTION OF CUSTOM URL. 

Participant will use best efforts to distribute the Custom URL: (a) only to Eligible Referrals; and (b) only after Univers Tech has approved the distribution by providing Participant with the Custom URL. All marketing materials (including without limitation the text of email distributions, if any) must be (i) strictly consistent with any Program instructions provided by the Company, (ii) compliant with the terms and conditions of this Agreement and all applicable marketing, privacy and data protection laws and governmental regulations. Any e-mail distribution must offer recipients the ability to opt-out of future Participant communications. At the Company’s request, the Participant will block distribution of Custom URL to parties as the Company designates in its sole discretion, consistent with applicable laws.

PAYMENT

Referral Fees. 

Univers Tech will pay Participant a Referral Fee based on the following guidelines:

  • $25 for the first 25 Eligible Referrals from a Participant’s Custom URL
  • $50 for the next 50 Eligible Referrals (a total of $75 in Referral Fees for 75 Eligible Referrals) from a Participant’s Custom URL
  • $100 for the next 75 Eligible Referrals (a total of $175 in Referral Fees for a total of 150 Eligible Referrals) from a Participant’s Custom URL
  • Twice $150 for each next 100 Eligible Referrals from a Participant’s Custom URL, up to (a total of $475 in Referral Fees for a total of 350 minimum Eligible Referrals). 

Referral Fees may differ based on the location of the Eligible Referral. Univers Tech may, at its sole option and discretion, prospectively increase or decrease Referral Fees or complete remove Referral Fees amounts by providing written notice (email/electronic communication permitted) to Participant, or by updating this Agreement and/or any applicable Program Guide, and any changes made are taken into immediate effect. Univers Tech reserves the right, in its sole discretion, not to pay any Referral Fees to Participant where Univers Tech determines Participant’s actions are not consistent with the intent of this Program.

Payment Process. 

Univers Tech will pay Participant the Referral Fees in the form of cash, gift card, electronic fund transfer, or any monetary vehicle with equivalent monetary value. The Referral Fees above are exclusive of taxes, and Univers Tech might withhold or charge taxes if determined by law. Additional payment terms may need to be accepted by Participant for the payment of Referrals Fees. Referral fees will be issued to Participant on a monthly basis or otherwise upon accrual of Referral Fees. All amounts referenced or payable under this Agreement are in U.S. Dollars unless Univers Tech notifies otherwise.

Participant is solely responsible for ensuring its information for Payment is accurate and current. Univers Tech will not be responsible for any payments not received due to Participant failing to provide accurate and complete account information for payment, or any other relevant or required information.

Univers Tech reserves the right, in its sole discretion, to change the terms and conditions of the payment process to Participant.

BRAND FEATURES AND INTELLECTUAL PROPERTY

The contents of the Program or Platform, including its “look and feel” (e.g., text, graphics, images, logos and button icons), photographs, editorial content, notices, software (including html-based computer programs) and other material are protected under United States and other applicable copyright, trademark and other laws. As between you and us, the Program and Platform and the content thereof belong to Univers Tech or its software or content suppliers. Univers Tech and its service providers, as applicable, retain all ownership and proprietary rights in the Program and Platform, associated content, technology, mobile applications and websites.

Univers Tech will own all intellectual property rights, title and interest to trade names, trademarks, service marks, logos and domain names as relevant to the Program or Platform (“Brand Feature(s)”). Subject to the terms and conditions of the Agreement (including without limitation the following sentence), Univers Tech grants to Participant a nonexclusive and non-sublicensable license during the Term to display Brand Features only to the extent Brand Features are provided by Company for use with the Program and solely for the limited purpose of promoting the Platform consistent with this Agreement. Additionally, all use of Brand Features is at Univers Tech’s sole discretion, are subject to Univers Tech’s then-current Brand Feature use guidelines, and may be revoked by Univers Tech at any time. 

Participant grants Univers Tech a royalty-free, worldwide, irrevocable, perpetual license to use and incorporate into the Program or Platform any suggestions, enhancement requests, recommendations or other feedback provided by you relating to the operation of the Program or Platform. 

Third party trademarks or logos are the property of their respective owners. Third party trademark holders are not affiliated with, nor do they sponsor or endorse, Univers Tech or any of its products or services.

PRIVACY

In order to register for the Program, Participant must provide certain basic information not limited to name, sex, phone number, email, university, etc. (“Personal Information”). When the Participant provides his/her contact information such as phone number or e-mail address, Participant permits Company to send any communications to them via using such communication portals. The Personal Information shared by the User may be used by Company for other marketing or informational purposes such as sending Program updates or information. Participant authorizes Univers Tech, its employees, consultants, partners and affiliates etc., operating on its behalf to use and/or disclose such Personal Information in accordance with relevant Laws.

Participant hereby consents to any and all uses and displays, by Company and its agents, of the Participant’s name, voice, likeness, image, appearance, and biographical information in, on or in connection with any pictures, photographs, audio, and video recordings, digital images, websites, television programs, advertising, sales and marketing brochures, books, magazines, other publications, CDs, DVDs, tapes, and all other printed and electronic forms and media throughout the world, at any time during or after the period of the Participant’s engagement in the Program, for all legitimate business purposes of the Company (“Permitted Uses”). Participant hereby forever releases the Company and its directors, officers, employees, and agents from any and all claims, actions, damages, losses, costs, expenses, and liability of any kind, arising under any legal or equitable theory whatsoever at any time during or after the period of the Participant’s association/engagement with Company, in connection with any Permitted Use. The Participant shall not without pre-approved written consent of an Authorized Officer involve himself or herself in any public discussions, conferences, publications or any other printed and electronic forms and media throughout the world, at any time during or after the Participant’s association/engagement with the Company, relating to any subject that might be connected to the Company, Program, or Platform.

This clause is not exhaustive and is to be read along with the Privacy Policy made available to all the Users on the Piere Platform.

TERMINATION AND MODIFICATION OF TERMS 

Univers Tech may at any time and in its sole discretion: (i) modify or update the terms of, including but not limited to, the Program, this Agreement, Eligible Referrals, or Referral Fees and will make such modified or updated terms available in writing, or (ii) revoke a Participant’s account, and/or terminate Participant’s participation in the Program in its entirety. 

This Agreement will continue until terminated by either party as provided herein. Univers Tech may terminate this Agreement immediately with or without cause upon written notice to the other party (email notice permitted). Participants may terminate this Agreement by discontinuing their Participation in the Program. Upon any termination or expiration of this Agreement, all licenses and rights granted will terminate. In the event of a termination, Participant will only receive Referral Fees that were earned in full for Eligible Referrals that occurred prior to the effective termination date. Termination notices to Univers Tech must be sent to contact@piere.com.

CONFIDENTIALITY. 

As part of the program, Participant may be exposed to or learn of Confidential Information about the Company, Platform, or Program. For the purposes of this Agreement, the term “Confidential Information” shall be broadly defined and includes, without limitation and without regard to whether or not such information is identified as Confidential Information by  Company: (i) all information proprietary to or created by or for Company; (ii) all information in the possession of Company that gives some competitive business advantage or the opportunity of obtaining such advantage ; (iii) all information in the possession of Company that has or could have commercial value or other utility in the business in which Company is engaged; (iv) all information and ideas that, if disclosed or used without authorization, could be detrimental to the interest of Company; or (v) all non-public information that should reasonably be assumed by Participant to be confidential and proprietary to Company based on all the relevant circumstances.

Without Company’s prior written consent, Participants shall not (i) disclose or reveal any Confidential Information to any person, firm or entity; (ii) use the Confidential Information for any purpose other than in connection with the Program; (iii) release, now or in the future, post or reference in any public or private forums including, but not limited to, presentations, websites, blogs, social media, etc. any of the Confidential Information; or (iv) disclose to any person, firm or entity the terms, conditions or any other facts with respect to Company, Platform, or the Program or that Confidential Information has been made available to Participant. 

Disclosure of Confidential Information by Participant is not prohibited if such disclosure is compelled pursuant to a legal proceeding or otherwise required by law and prior written notice is given to Company. Participant shall thereafter cooperate fully and in good faith with Company to quash or otherwise object to or defend against the request to disclose or produce, and any such disclosure or production shall be strictly limited to only that which is required to comply with the relevant law or order. Notice of immunity is hereby provided under Defense of Trade Secrets Act, 18 USC Section 1833(b), only if disclosure is made: (1) in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney, and solely for the purpose of reporting or investigating a suspected violation of law; or (2) in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal.

WARRANTY DISCLAIMERS

YOU AGREE YOUR PARTICIPATION IN THE PROGRAM AND ALL INFORMATION AND CONTENT (INCLUDING THAT OF THIRD PARTIES) IS AT YOUR RISK AND IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE, AND OUR SERVICE PROVIDERS, DISCLAIM ALL WARRANTIES OR INDEMNITIES OF ANY KIND AS TO PARTICIPATION IN THE PROGRAM, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. WE, AND OUR SERVICE PROVIDERS, MAKE NO WARRANTY THAT (i) THE PROGRAM WILL MEET YOUR REQUIREMENTS, (ii) THE PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE PROGRAM WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, OR (v) ANY ERRORS IN THE PROGRAM OR TECHNOLOGY WILL BE CORRECTED. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL. WE, ON BEHALF OF OURSELVES AND ALL THIRD-PARTY DATA PROVIDERS, EXPRESSLY DISCLAIM ANY TYPE OF REPRESENTATION OR WARRANTY REGARDING THE AVAILABILITY OR RESPONSE TIME OF THE PROGRAM OR CONTENT OR INFORMATION OBTAINED THROUGH THE PROGRAM OR THAT SUCH ACCESS WILL BE UNINTERRUPTED OR ERROR-FREE AND EXPRESSLY DISCLAIMS THE ACCURACY, COMPLETENESS AND CURRENCY OF ALL INFORMATION COLLECTED ON YOUR BEHALF. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM UNIVERS TECH OR ITS SERVICE PROVIDERS THROUGH OR FROM THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. 

Some states or jurisdictions do not allow the exclusion of certain warranties. Accordingly, while some of the above exclusions may not apply to you, the exclusions above shall apply to the maximum extent permitted by applicable law.

INDEMNITY AND LIMITATION OF LIABILITY

To the fullest extent allowed by applicable law, you agree to indemnify and hold Univers Tech, its service providers, affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims relating to (a) your participation in the Program and (b) your violation of these Terms. In the event of such a claim, suit, or action (the “Claim”), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

Neither Univers Tech nor any of its service providers, officers, directors, employees or agents shall be liable in any way for any damages whatsoever, including, without limitation, indirect, special, punitive, consequential, or incidental damages (including, without limitation, lost profits, cost of procuring substitute service, or lost opportunity) arising out of or in connection with the Program. This limitation shall apply regardless of whether the damages are foreseeable or whether Univers Tech has been advised of the possibility of damages. The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction. 

MISCELLANEOUS

GOVERNING LAW

These Terms are governed by and will be construed under the laws of the State of Florida, without regard to the conflicts of laws provisions thereof. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled in the state or federal courts located in Broward County, Florida.

You and Univers Tech agree that any dispute, claim, or controversy arising out of or relating in any way to the Program or the Terms will be determined primarily by binding arbitration or secondarily by small claims court, instead of in courts of general jurisdiction. You agree to waive your right to a jury trial, and further agrees that no demand, request, or motion will be made for a jury trial.

ASSIGNMENT

You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your Account, in any way (by operation of law or otherwise) without Univers Tech’s prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.

WAIVER AND SEVERIBILITY

Any waiver of any provision contained in these Terms a shall not be deemed to be a waiver of any other right, term, or provision of these Terms. If any provision in these Terms is determined to be wholly or partially invalid, illegal or unenforceable, such provision shall be enforced to the extent it is legal and valid and the validity, legality and enforceability of the remaining provisions shall in no way be affected or impaired thereby.

EXPORT RESTRICTIONS

You acknowledge that the Program, Platform, and any software underlying such Services are subject to the U.S. Export Administration Regulations (15 CFR, Chapter VII) and that you will comply with these regulations. You will not export or re-export any software, directly or indirectly, to: (1) any countries that are subject to U.S. export restrictions; (2) any end user who has been prohibited from participating in U.S. export transactions by any federal agency of the U.S. government; or (3) any end user who you know or have reason to know will utilize them in the design, development or production of nuclear, chemical or biological weapons. You further acknowledge that the Services may include technical data subject to export and re-export restrictions imposed by U.S. law. 

ANTI-CORRUPTION

You agree that you have not received or been offered any illegal or improper bribe, kickback, payment, gift or thing of value from a Univers Tech employee or agent in connection with these Terms. 

PROGRAM AND TERMS SUBJECT TO CHANGE

We are constantly trying to improve our Program, so these Terms may need to change along with the Program. We reserve the right to change these Terms by posting revisions to these Terms; these revisions shall be effective upon their posting and govern any participation of the Program thereafter. If you don’t accept these changes, you must stop using the Program. The information on the Program is subject to change without notice.

These Terms are not an exhaustive list and are to be read along with other Company legal guidelines including the Piere Terms & Conditions and Privacy Policy made available to all the Users on the Piere Platform.
